Terms of Service.

The rules and guidelines for using AMBA's safety and emergency response platform. Please read these terms carefully before using our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AmBa Technology Solutions Limited ("AMBA", "we", "us", or "our"), a company registered in Nigeria (RC 9013401), governing your access to and use of the AMBA mobile application, website, and all related safety and emergency response services (collectively, the "Services").

By downloading, installing, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

These Terms apply to all visitors, users, and others who access or use the Services, including individual users, family account members, and authorized representatives of connected organizations.

2. Eligibility & Account Registration

To use AMBA, you must:

  • Be at least 13 years of age. If you are under 18, you must have the consent of a parent or guardian to use the Services.
  • Have the legal capacity to enter into a binding contract under Nigerian law.
  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your account credentials and promptly notify us of any unauthorized access.

You are responsible for all activities that occur under your account. AMBA reserves the right to suspend or terminate accounts that provide false information, impersonate others, or violate these Terms.

For organizational accounts, the individual registering on behalf of the organization warrants that they have the authority to bind that organization to these Terms.

3. Description of Services

AMBA provides a real-time safety and emergency response platform designed to connect individuals, families, and organizations to immediate help. Our core services include:

  • One-Press SOS Alerts: Instant emergency alerts sent to your designated Safe Circle and connected organization responders with your live location.
  • Safe Circle Networks: A private network of trusted contacts who receive your alerts and location during emergencies.
  • Geo-Tagged Incident Documentation: Tools to document and report safety incidents with location data, photos, and descriptions.
  • Organization Dashboards: Institutional tools for security teams to monitor, respond to, and analyze safety incidents within their jurisdiction.
  • Trip Sharing: Temporary location sharing with selected contacts for the duration of a journey.

AMBA is designed as a supplementary safety tool and is not a replacement for official emergency services (such as police, fire, or medical emergency services). Users should always contact official emergency services (e.g., 112 in Nigeria) when immediate professional emergency response is required.

4. User Conduct & Responsibilities

By using AMBA, you agree to:

  • Use the Services only for lawful purposes and in accordance with these Terms.
  • Not use the Services to send false, misleading, or fraudulent SOS alerts or incident reports.
  • Not interfere with or disrupt the integrity or performance of the Services or its underlying infrastructure.
  • Not attempt to gain unauthorized access to any portion of the Services, other user accounts, or connected organization systems.
  • Not reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the application.
  • Not use the Services to harass, threaten, or harm other users or third parties.
  • Not upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or infringing on intellectual property rights.

Violation of these conduct rules may result in immediate suspension or termination of your account, and may also subject you to civil or criminal liability under applicable law.

5. SOS Alerts & Emergency Use

AMBA's SOS alert feature is designed for genuine emergency situations where you or someone nearby requires immediate assistance. By using this feature, you acknowledge and agree that:

  • Genuine use only: SOS alerts must only be triggered in genuine emergency situations. False or prank alerts waste responder resources, may delay response to real emergencies, and may violate local laws.
  • Location accuracy: While AMBA uses GPS and network-based location services, we cannot guarantee 100% accuracy of location data. Factors such as device settings, network conditions, and physical environment may affect location precision.
  • Network dependency: SOS alerts require an active internet connection (mobile data or Wi-Fi) to reach recipients. AMBA includes retry logic for weak connections, but we cannot guarantee delivery in areas with no network coverage.
  • Not a substitute for emergency services: AMBA connects you to your Safe Circle and organization responders. It does not replace official emergency services. In life-threatening situations, contact official emergency numbers directly.
  • Audio recording: During an active SOS alert, AMBA may capture background audio for up to 30 seconds to provide context to responders. This recording is automatically deleted after 7 days and is only accessible to authorized responders.

AMBA reserves the right to investigate and take action against accounts that trigger repeated false alerts, including account suspension and reporting to relevant authorities.

6. Organization Accounts

Organizations (such as universities, estates, corporate offices, and government agencies) may connect to AMBA to provide an additional layer of safety response for their members. Organization accounts are subject to the following terms:

  • Authorization: The organization must be a legitimate entity with the authority to provide safety and security services to its members.
  • Data scope: Organization responders may only access alert data and location information for users who have explicitly linked their accounts to that organization using the provided access code.
  • Role-based access: Organizations must implement appropriate role-based access controls, ensuring that only authorized personnel can view member safety data.
  • Data use restrictions: Organizations may not use member safety data for purposes unrelated to emergency response, such as marketing, surveillance, or disciplinary action unrelated to safety.
  • Compliance: Organizations are responsible for ensuring their use of AMBA complies with all applicable data protection laws and regulations, including the Nigeria Data Protection Regulation (NDPR).
  • Payment: Organization accounts are subject to the pricing and billing terms agreed upon during onboarding. Failure to maintain payment may result in suspension of organization dashboard access.

7. Intellectual Property

All content, features, and functionality of the AMBA application and website, including but not limited to text, graphics, logos, icons, images, audio clips, software, and code, are the exclusive property of AmBa Technology Solutions Limited and are protected by Nigerian and international copyright, trademark, patent, and other intellectual property laws.

AMBA grants you a limited, non-exclusive, non-transferable, revocable license to use the application for personal, non-commercial safety purposes, subject to these Terms. This license does not permit you to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content or software obtained from the Services.
  • Use any AMBA trademarks, logos, or brand elements without prior written consent.
  • Frame or mirror any part of the Services without our express written permission.
  • Use automated systems (such as spiders, robots, or data mining techniques) to access, monitor, or copy any part of the Services.

Any unauthorized use of AMBA's intellectual property will result in immediate termination of your license and may constitute a violation of applicable laws.

8. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using AMBA, you consent to the collection and use of your data as described in the Privacy Policy, including:

  • Location data during active SOS alerts and shared trips.
  • Contact information for your Safe Circle and account management.
  • Device and technical information for service optimization and security.
  • Incident reports and associated media (photos, audio) submitted through the app.

We process personal data in compliance with the Nigeria Data Protection Regulation (NDPR) and applicable international data protection standards. For more details on your rights and how we protect your data, please review our full Privacy Policy.

9. Third-Party Services

The AMBA application may integrate with or link to third-party services, including:

  • Mapping and geolocation services (e.g., Google Maps, OpenStreetMap) for location display and routing.
  • Cloud hosting and storage providers (e.g., AWS) for data storage and processing.
  • Analytics services for understanding app usage and improving performance.
  • Push notification services for delivering alert notifications.

Your use of any third-party services is subject to their respective terms of service and privacy policies. AMBA does not control and is not responsible for the content, privacy practices, or availability of third-party services. We encourage you to review the terms and policies of any third-party services you interact with through AMBA.

The inclusion of any third-party link or integration does not imply endorsement by AMBA of that service or its practices.

10. Disclaimers & Limitations

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, AMBA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Services will be uninterrupted, timely, secure, or error-free.
  • Warranties that the results obtained from using the Services will be accurate or reliable.
  • Warranties regarding the availability, accuracy, or reliability of location data.

Emergency response disclaimer: AMBA is a supplementary safety tool and does not guarantee emergency response. The speed and effectiveness of response depend on factors outside our control, including network availability, responder availability, and geographic conditions. AMBA is not an emergency service provider and does not replace official emergency services.

Limitation of liability: To the maximum extent permitted by applicable law, AMBA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Services.
  • Any conduct or content of any third party on the Services.
  • Any content obtained from the Services.
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall AMBA's total liability to you for all claims exceed the amount you have paid to AMBA for the Services in the twelve (12) months preceding the claim, or one hundred thousand Naira (₦100,000), whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless AmBa Technology Solutions Limited, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

  • Your use of the Services, including any data or content transmitted or received through the Services.
  • Your violation of these Terms or any applicable law or regulation.
  • Your violation of any rights of a third party, including intellectual property rights or privacy rights.
  • Any false SOS alert or fraudulent incident report submitted through your account.
  • Any dispute between you and any member of your Safe Circle or connected organization.

AMBA reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

12. Termination & Suspension

AMBA may suspend or terminate your access to the Services, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms or any applicable law.
  • Submission of false or fraudulent SOS alerts or incident reports.
  • Engaging in conduct that harms other users, responders, or the integrity of the Services.
  • Non-payment of fees for organization accounts.
  • Extended periods of inactivity (for individual accounts, typically 24 months).

Upon termination:

  • All licenses granted to you under these Terms will immediately terminate.
  • You must cease all use of the Services and delete the application from your devices.
  • We may retain certain data as required by law or for legitimate business purposes (such as fraud prevention or legal compliance), as described in our Privacy Policy.

Termination of your account does not limit any of AMBA's rights or remedies at law or in equity.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Rivers State, Nigeria. However, AMBA may seek injunctive or other equitable relief in any jurisdiction to protect its intellectual property rights.

If you are accessing the Services from outside Nigeria, you are responsible for compliance with local laws, including data protection and privacy regulations applicable in your jurisdiction.

14. Changes to These Terms

AMBA reserves the right to modify or replace these Terms at any time. We will provide notice of material changes by:

  • Updating the "Last updated" date at the top of this page.
  • Posting a notice on the AMBA website and within the application.
  • Sending an email to the address associated with your account (for material changes).

Material changes will become effective no sooner than 30 days after notice is provided. Changes that are not material may take effect immediately. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Services and delete your account.
